1. Acceptance of Terms
These Terms constitute a legal agreement between Digital Marketing Trade (the Agency) and the client. By accessing our website, requesting a consultation, signing a service agreement, or accepting our services in any form, you agree to be bound by these terms.
If you do not agree to any part of these terms, you should not use our services. We reserve the right to modify these terms at any time. Continued use of our services after modifications constitutes your acceptance of the updated terms.
These terms apply to all services including web development, digital marketing, social media management, SEO, graphic design, brand identity, e-commerce solutions, blockchain development, and consulting services.
2. Service Description
Digital Marketing Trade provides a comprehensive range of digital services including website and web application development, e-commerce platform setup, digital marketing and advertising, SEO, social media marketing, graphic design, blockchain and Web3 solutions, analytics setup, content strategy, and custom software development.
Service Scope
Services are provided based on agreed-upon project scope, deliverables, timeline, and pricing as outlined in individual service agreements. Any work beyond the agreed scope is considered additional work and will be billed separately.
Scope Changes
If you request changes after work has begun, we will provide a revised timeline and pricing estimate. Approval of scope changes in writing is required before proceeding.
Third-Party Services
Some services may require integration with third-party platforms such as Google Ads, Meta, or Shopify. We are not responsible for outages, limitations, or changes to these platforms.
3. Client Responsibilities
To ensure project success, clients agree to the following responsibilities.
Communication and Availability
- ◆Respond to communications within 24 to 48 business hours
- ◆Provide necessary information, assets, and content promptly
- ◆Designate a primary point of contact for project updates
- ◆Participate in discovery calls, reviews, and meetings as scheduled
Content and Materials
- ◆Provide all content, copy, images, and materials in a timely manner
- ◆Ensure all provided content is original and legally owned by you
- ◆Grant necessary permissions for any third-party content usage
Approvals
- ◆Review deliverables and provide feedback promptly
- ◆Approve designs, copy, and campaign strategies in writing
- ◆Sign off on final deliverables before launch
Legal Compliance
- ◆Ensure all provided content complies with applicable laws and regulations
- ◆Not request services that violate laws or intellectual property rights
- ◆Accept responsibility for any legal issues arising from client-provided content
4. Payment Terms
Payment Schedule
- ◆Starter Plans: Monthly subscription billed on the 1st of each month
- ◆Project-Based Work: 50% deposit required to begin, 50% due upon delivery
- ◆Hourly Work: Invoiced monthly with net 15 payment terms
- ◆Custom Projects: Payment schedule determined in the service agreement

Late Payments
Payments not received by the due date are considered late and may result in suspension of services. A late fee of 1.5% per month will be applied to overdue balances. Collections costs and legal fees will be charged for accounts over 30 days past due.
Refunds and Cancellations
Refund policy is governed by our separate Refund and Return Policy. Deposits are generally non-refundable once work begins, but refunds may be available under specific circumstances.
5. Intellectual Property
Ownership of Deliverables
Upon full payment and project completion, you own all original deliverables created specifically for your project: custom code and design, original graphics, custom written content, commissioned photography, and developed software.
Ownership Limitations
You do not own or have rights to our pre-existing tools, templates, frameworks, or methodologies; third-party licensed software or components; stock photos, fonts, or assets obtained through third-party subscriptions; or our proprietary processes and strategies.

- ◆Create derivative works using our pre-existing templates and frameworks
6. Limitation of Liability
Disclaimers
- ◆We do not guarantee specific results, rankings, traffic, conversions, or revenue
- ◆Digital marketing results depend on many factors outside our control
- ◆Search engine rankings are not guaranteed and may fluctuate
- ◆Ad performance depends on market conditions, competition, and external factors
Liability Cap
Our total liability under any claim shall not exceed the total amount paid by the client for the specific service during the 12 months preceding the claim.
Client Indemnification
You agree to indemnify and hold harmless Digital Marketing Trade from any claims, damages, or costs arising from your violation of these terms, violation of applicable laws, infringement of third-party intellectual property rights, or content you provided.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement, including business strategies, pricing, financial information, and technical details.
Portfolio and Case Studies
We request permission to feature your project in our portfolio and case studies. We will not identify your business without explicit written consent, but we may use anonymized results and screenshots.

8. Termination
Termination by Client
- ◆Monthly subscriptions: 30 days written notice required, ending at the next billing cycle
- ◆Projects: charges apply for work completed to date plus any non-recoverable costs
- ◆For Agency breach: immediate termination with possible refund of unearned fees
Termination by Agency
We may terminate services if payment is more than 30 days overdue, you breach these terms and fail to cure within 10 days of written notice, your conduct is illegal or unethical, you violate intellectual property rights, or we cease operations.
Survival
Sections covering intellectual property, limitation of liability, indemnification, and confidentiality survive termination of services.
9. Dispute Resolution
Good Faith Negotiation
Any dispute will first be addressed through good faith negotiation. Both parties agree to attempt resolution within 15 days of a dispute notice.
Governing Law
These terms are governed by the laws of Pakistan, without regard to conflict of law principles. The specific jurisdiction will be determined based on where services were provided or where the client is located.
Arbitration
For disputes that cannot be resolved through negotiation or mediation, either party may submit to binding arbitration. The arbitrator decision is final and binding.
10. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. We will make reasonable efforts to notify you of material changes via email or prominent website notice.
Your continued use of our website or services after changes are posted constitutes acceptance of the modified terms. If you disagree with any changes, you must cease using our services.
11. General Provisions
- ◆Entire Agreement: These Terms, along with any service agreement, constitute the entire agreement between the parties
- ◆Severability: If any provision is found unenforceable, remaining terms continue in full force
- ◆Waiver: Failure to enforce any right does not constitute waiver of that right
- ◆Assignment: You may not assign these terms without our written consent
- ◆No Agency: Nothing in these terms creates a partnership, joint venture, or employment relationship
